Please read these Terms and Conditions carefully before purchasing a vehicle from HR Trading Pvt Ltd By placing an order or making a payment, you agree to be bound by these terms. These terms apply to all international vehicle export transactions conducted by HR Trading Pvt Ltd
1. Definitions
In these Terms and Conditions: • "Company" means HR Trading Pvt Ltd, a vehicle export business registered in Japan. • "Buyer" means any individual, company, or entity purchasing or inquiring about vehicles from the Company. • "Vehicle" means any used motor vehicle, machinery, or heavy equipment offered for sale by the Company. • "Proforma Invoice" means the commercial document issued by the Company setting out the agreed price and terms of sale. • "FOB" means Free On Board — risk transfers to Buyer when vehicle is loaded onto the vessel. • "CIF" means Cost, Insurance, and Freight — Company arranges and pays for shipping and insurance to the named port.
2. General
2.1 These Terms and Conditions govern all transactions between HR Trading Pvt Ltd and the Buyer. 2.2 By placing an order, making a payment, or signing a Proforma Invoice, the Buyer agrees to be bound by these Terms. 2.3 No variation or modification of these Terms shall be binding unless agreed in writing by an authorised representative of the Company. 2.4 The Company reserves the right to update these Terms at any time. The current version is always published on our website.
3. Vehicle Description & Condition
3.1 All vehicles are Japanese used vehicles sourced from licensed auction houses in Japan (USS, TAA, JAA, and others). 3.2 Vehicles are sold on an "as-is, where-is" basis unless an independent inspection certificate is explicitly included in the Proforma Invoice. 3.3 Auction grades and condition reports are provided for reference only and are sourced from the auction house. The Company does not independently verify auction grading. 3.4 Mileage (odometer) readings are taken from the auction sheet and are not independently verified by the Company. 3.5 The Company makes no warranties, expressed or implied, regarding the fitness for purpose, merchantability, or compliance with the laws of the Buyer's country. 3.6 All vehicle descriptions, specifications, and images provided on our website or in Proforma Invoices are for reference purposes and may differ slightly from the actual vehicle.
4. Pricing & Payment
4.1 All prices are quoted in United States Dollars (USD) unless otherwise specified on the Proforma Invoice. 4.2 Prices are valid for seven (7) days from the date of the Proforma Invoice unless otherwise stated. 4.3 A non-refundable deposit of 30% (or as specified on the Proforma Invoice) is required to secure a vehicle. The vehicle is not reserved until the deposit is received and confirmed. 4.4 Full payment must be received prior to the vessel's departure (ETD) unless the Company has agreed to credit terms in writing. 4.5 All bank transfer charges, SWIFT fees, and intermediary bank charges are the responsibility of the Buyer. Payment must be received net of all charges. 4.6 The Company accepts payment by Telegraphic Transfer (T/T / Bank Wire) only. Cheques and cash are not accepted for international transactions. 4.7 Title to the vehicle does not pass to the Buyer until full payment has been received and cleared.
5. Deposits & Cancellations
5.1 Deposits paid to secure a vehicle are non-refundable if the Buyer cancels the order after the deposit has been received. 5.2 If the Company is unable to supply the vehicle (e.g., vehicle is damaged, lost, or fails inspection), the full deposit will be refunded within 14 business days. 5.3 Cancellation of an order after full payment requires written notice. Refunds, if approved, will be subject to a restocking fee of up to 10% of the vehicle price, plus any freight and handling costs already incurred. 5.4 The Company reserves the right to cancel an order if payment is not received within the timeframe specified on the Proforma Invoice.
6. Shipping & Delivery
6.1 The Company will arrange shipping on behalf of the Buyer under CIF or C&F terms, or the Buyer may arrange their own shipping under FOB terms, as specified on the Proforma Invoice. 6.2 Estimated shipping dates and ETAs are provided in good faith but are not guaranteed. The Company is not liable for delays caused by shipping lines, weather, port congestion, or force majeure events. 6.3 Risk of loss or damage passes to the Buyer upon loading of the vehicle onto the vessel (FOB) or upon delivery at the named port (CIF/C&F) as specified in the Proforma Invoice. 6.4 The Company will provide the following shipping documents: Bill of Lading (B/L), Export Certificate (Jyushaken / De-registration Certificate), and Commercial Invoice. Additional documents may be available upon request and at additional cost. 6.5 The Buyer is solely responsible for importing the vehicle in accordance with the laws and regulations of their country.
7. Import Duties, Taxes & Customs
7.1 All customs duties, import taxes, VAT, GST, port charges, and any other government-imposed levies at the destination country are the sole responsibility of the Buyer. 7.2 The Company will not misrepresent the value of a vehicle on customs documentation. Requests to undervalue goods for customs purposes will be refused. 7.3 The Buyer is responsible for ensuring that the vehicle meets all roadworthiness, safety, and emissions standards required in their country. The Company makes no guarantee that any vehicle will pass any particular country's compliance requirements.
8. Export Compliance (Japan)
8.1 All vehicles are exported in compliance with Japanese export laws, including the Foreign Exchange and Foreign Trade Act. 8.2 The Company is a registered exporter and complies with Japanese Ministry of Land, Infrastructure, Transport and Tourism (MLIT) regulations regarding vehicle de-registration and export certification. 8.3 Buyers are responsible for complying with any import restrictions, embargoes, or sanctions applicable in their country.
9. Intellectual Property & Website Use
9.1 All content on the HR Trading Pvt Ltd website, including vehicle listings, images, text, logos, and branding, is the property of HR Trading Pvt Ltd 9.2 Content may not be reproduced, copied, or distributed without prior written consent from the Company. 9.3 Automated scraping, data harvesting, or any unauthorised access to the website is strictly prohibited.
10. Limitation of Liability
10.1 To the maximum extent permitted by applicable law, the Company's total liability for any claim arising from a transaction shall not exceed the purchase price paid by the Buyer for the relevant vehicle. 10.2 The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of business, or loss of anticipated savings. 10.3 The Company is not responsible for mechanical failure, defects, or any issues that arise after the vehicle has been shipped.
11. Dispute Resolution
11.1 Any dispute arising from or in connection with these Terms or any transaction shall first be referred to senior management of both parties for negotiation in good faith. 11.2 If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in Kobe, Japan, under the rules of the Japan Commercial Arbitration Association (JCAA). 11.3 These Terms are governed by the laws of Japan.
